Terms of Use
Draft under legal review, version v0.3-minuta. Items marked ⟦…⟧ are still pending.
Open in the appDraft for legal review. The Portuguese and English versions must say the same thing; if they differ, the English version prevails (owner decision, 2026-10-23; ⟦confirm with counsel⟧).
1. Who we are and what these terms cover
1.1. These Terms govern your use of stealthprotocol.ch and its pages, bots and tools (the "Interface"), operated by ⟦TO FILL: legal entity or responsible persons, address, registration number⟧ ("we", "us").
1.2. The Interface gives access to public smart contracts on the Base network (the "Protocol"). The contracts run autonomously on the blockchain. Once deployed, the fee, split and liquidity rules cannot be changed by anyone, including us, except for the limited functions in clause 6.
1.3. By using the Interface you confirm that you have read and accept these Terms, the Risk Notice, the Privacy Policy and, if you create a token, the Creator Rules. If you do not agree, do not use the Interface.
2. Who may use it
2.1. You represent that:
- (a) you are at least ⟦18⟧ years old and legally capable;
- (b) you are not located in, resident in or organised under the laws of a restricted jurisdiction (clause 2.2);
- (c) you are not a person or entity on a sanctions list of the United States (OFAC), the European Union, the United Kingdom, the United Nations or any other applicable authority, and you are not acting on behalf of one;
- (d) you will not use the Interface to evade sanctions, blocks or laws that apply to you.
2.2. Restricted jurisdictions: ⟦LIST TO BE DEFINED WITH COUNSEL. Proposal: Cuba, Iran, North Korea, Syria, the occupied regions of Ukraine (Crimea, Donetsk, Luhansk), Russia confirm⟧, Belarus ⟦confirm⟧, ⟦United Kingdom?⟧, ⟦United States?⟧ and any other jurisdiction where use is prohibited⟧.
2.3. We may block access to the Interface by location, by wallet address (sanctions screening) or by any other compliance criterion, without notice. Using a VPN or any other means to get around these blocks is prohibited and breaches these Terms.
3. Nature of the service: software, not custody
3.1. We do not hold funds, tokens or keys. You sign every transaction in your own wallet and send it to the blockchain yourself. We cannot execute, cancel, reverse or recover transactions.
3.2. We are not a broker, exchange, bank, investment adviser, offeror or issuer of tokens created by users. ⟦Confirm wording with counsel against the MiCA analysis.⟧
3.3. Trading happens in Uniswap pools, a third-party protocol. Wallets, RPC providers, block explorers and marketplaces are also third parties. We are not responsible for them.
3.4. Nothing on the Interface is financial, legal or tax advice, or a recommendation to buy or sell.
4. Tokens created by users
4.1. Anyone can create a token through the Protocol. Tokens are created and promoted by third parties. We do not verify, endorse or guarantee any token, its name, image or description, or any promise made by its creator.
4.2. A token may imitate another project, a brand or a person. Always check the contract address. The official $STLTH address is published only on ⟦transparency page⟧.
4.3. We may hide from the Interface any token, image or text that breaches the Creator Rules or the law, or that we consider inappropriate, without notice and without liability to the creator. Hiding it from the Interface does not remove the token from the blockchain, and it can still be traded elsewhere.
5. Fees
5.1. Trading fee: every buy or sell in the pools created by the Protocol pays 1% to the pool. The contract splits that fee automatically:
- 75% to the Protocol treasury;
- 25% to the current holder of the token's creator NFT.
5.2. Creator NFT royalty: the contract signals to marketplaces a 5% royalty on resales, paid to the treasury. Whether it is applied is up to the marketplace.
5.3. Stealth delivery: free as of the date of these Terms. ⟦If the 0.1% fee is enabled after legal review: "Purchases made through the Interface with stealth delivery pay an interface fee of 0.1% of the amount swapped, shown on screen before you sign."⟧
5.4. You also pay network fees (gas), which are not ours.
5.5. Fees received by the treasury are the operator's revenue. No part of them is distributed to holders of $STLTH or of any other token.
6. What the operator can and cannot do in the Protocol
6.1. A multi-signature wallet controlled by the operator can:
- (a) pause the creation of new tokens;
- (b) change, after a public 48-hour delay and within limits fixed in the code, the starting market value of new tokens;
- (c) change, after a 48-hour delay and within fixed caps, the treasury recipients and sale parameters;
- (d) mark tokens the treasury will not sell.
6.2. The operator cannot: mint more units of a token, freeze or seize balances, withdraw the locked liquidity, change the 75/25 split, touch the amount accrued to a creator NFT, or change tokens already created.
7. Creator NFT
7.1. When you create a token you receive a creator NFT. It lets its current holder claim the share of fees assigned to that token.
7.2. The NFT can be transferred or sold. Accrued, unclaimed fees move with the NFT. Claim before you sell.
7.3. The NFT is not an investment, a security, an equity interest or a promise of income. Fee income depends entirely on trading volume, which may be zero. ⟦Wording to be confirmed after question 8.1.⟧
8. $STLTH
8.1. $STLTH is a token created through the Protocol under the same rules as any other, with the operator as its creator.
8.2. $STLTH gives no right to revenue, profit, dividends, buybacks, interest, votes, any stake in the operator or any service. We promise no price increase and no liquidity. ⟦Adjust after question 3.4.⟧
9. Stealth delivery (one-time addresses)
9.1. The optional tool delivers each purchase to a fresh address derived in your browser from a signature by your wallet. Only someone holding that signature can find and spend the funds. We do not store the signature or the keys. If you lose access to your wallet, you lose the funds.
9.2. Private is not anonymous. The tool does not mix funds, does not hide where a transaction came from and does not prevent blockchain analysis. The purchase publicly shows which wallet paid and which address received.
9.3. The tool must not be used to evade sanctions, launder money, evade taxes or hide assets from creditors or authorities. Sanctions screening applies before use.
10. Prohibited uses
You may not use the Interface to:
- (a) breach sanctions or laws;
- (b) launder money, finance terrorism or commit fraud;
- (c) manipulate markets (wash trading, coordinated pump and dump, false information);
- (d) create tokens that breach the Creator Rules;
- (e) attack, overload or exploit flaws in the Interface or the Protocol, except through the responsible disclosure programme ⟦link to SECURITY.md⟧;
- (f) automate use of the Interface abusively.
11. Experimental software, no warranties
11.1. The Protocol is in beta and has not been externally audited. Internal reviews and automated tests are not an audit. Defects may cause total loss of funds.
11.2. The Interface and the Protocol are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law.
12. Limitation of liability
12.1. To the fullest extent permitted by applicable law, we are not liable for:
- (a) lost profits, lost data, or indirect, special or consequential damages;
- (b) losses caused by third-party tokens, scams, price movements, failure of third-party contracts or software, user error (wrong address, lost key, signing on a fake site) or blockchain events.
12.2. Our total liability is limited to ⟦TO DEFINE: e.g. the greater of €100 and the fees you paid us in the previous 12 months⟧.
12.3. Nothing in these Terms excludes liability that cannot be excluded by law, such as for wilful misconduct, gross negligence or mandatory consumer rights.
13. Indemnity
You agree to indemnify us against third-party claims arising from your breach of these Terms or of the law, including tokens you created. ⟦Check enforceability against consumers.⟧
14. Taxes
You are responsible for reporting and paying taxes on your transactions.
15. Changes
We may change these Terms and the Interface. The version and date are shown in the footer, and every change is logged. Continued use after a change means acceptance. Changes to the Interface do not change contracts already deployed.
16. Governing law and venue
⟦TO DEFINE WITH COUNSEL: governing law, courts or arbitration, and a carve-out for mandatory consumer-protection rules of the user's country of residence.⟧
